Section 01

Agreement & acceptance

These Terms of Service (the "Terms") form a binding agreement between you (or the company you represent) and Sourceby ("we", "us", "our"), governing your use of our website, applications, APIs, and related services (collectively, the "Service").

By creating an account, clicking "I agree", or otherwise accessing the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

The short version
By using Sourceby, you agree to these Terms. You keep ownership of your content, we keep ownership of the platform, neither side does anything illegal, and we can both end the agreement under the conditions described below.
Section 02

Eligibility & accounts

Sourceby is a business-to-business service intended for use by organizations and their authorized personnel. You must be at least 18 years old and legally able to enter contracts to use the Service.

  • You must provide accurate, complete, and current information when creating an account, and keep it up to date.
  • You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials.
  • Notify us immediately at info@sourceby.io of any unauthorized access or suspected security incident.
  • Workspaces may have multiple users with different roles (admin, buyer, requester, approver, supplier). Workspace owners can manage permissions.
  • One person or one business entity per account. Account sharing across organizations is not permitted.
Section 03

The Service

Sourceby is an AI-enabled sourcing platform that helps buyers discover suppliers, create RFQs/BOQs/RFIs, manage clarifications, evaluate responses, and track sourcing events. Specific features are described on our marketing pages and in product documentation. We may update, add, or remove features over time at our discretion, with notice for material changes.

Some features may be marked as beta, preview, or experimental. These features are provided as-is, may have additional terms, and may be discontinued.

Section 04

Plans, billing & cancellation

Sourceby is offered on free, subscription, and enterprise plans. Plan features and pricing are described on our pricing page and in your order form.

Billing

  • Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law or expressly stated.
  • You authorize us (and our payment processors) to charge your chosen payment method for all fees and applicable taxes.
  • Annual plans renew automatically unless cancelled before the renewal date.
  • Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Cancellation & refunds

  • You can cancel monthly plans at any time; cancellation takes effect at the end of the current billing period.
  • Annual plans cancel at renewal. We do not offer pro-rated refunds for mid-term cancellation unless required by law.
  • Free-trial users will be charged at the end of the trial unless they cancel before it ends.

Section 05

Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right (including IP, privacy, and export-control laws).
  • Upload content that is illegal, infringing, defamatory, harassing, or harmful to others.
  • Distribute malware, run vulnerability scans without authorization, or interfere with the Service's security or availability.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Scrape, copy, or harvest the Service or its content using automated means without our written consent.
  • Reverse-engineer, decompile, or attempt to extract source code, except to the limited extent permitted by law.
  • Resell, sublicense, or commercially exploit the Service without authorization.
  • Submit false, misleading, or fraudulent supplier or buyer information.
  • Use the Service to send unsolicited communications, spam, or marketing to other users.
Consequences
Violations can result in immediate suspension or termination of your account, removal of content, and (where appropriate) legal action.
Section 06

Your content & license to us

You own your content. RFQs, BOQs, drawings, specifications, supplier profile data, messages, and other materials you upload to the Service ("Your Content") remain yours.

To operate the Service, you grant Sourceby a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely for the purpose of providing and improving the Service to you. This license ends when you delete the content or close your account, except where retention is required by law or for backup purposes (see Privacy Policy).

  • You represent that you have the rights necessary to upload Your Content and that it does not violate any third-party rights.
  • You are solely responsible for the accuracy and legality of Your Content.
  • We do not use private Your Content (e.g. drawings, RFQs) to train AI models. See our Privacy Policy for details.
  • If you submit feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service.
Section 07

Sourceby intellectual property

The Service, including its software, design, branding, content, and documentation, is owned by Sourceby and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your business purposes.

No rights are granted to you other than those expressly stated in these Terms. All trademarks, service marks, and logos used on the Service are the property of Sourceby or their respective owners.

Section 08

Confidentiality

Each party may receive confidential information from the other ("Confidential Information"), including business plans, pricing, technical details, RFQs, supplier capabilities, and customer lists.

  • Both parties agree to keep Confidential Information confidential, to use it solely for the purposes of these Terms, and to protect it with the same care they apply to their own confidential information (and at minimum, reasonable care).
  • This obligation does not apply to information that is public, was known before disclosure, was independently developed, or is required to be disclosed by law (with notice where permitted).
  • For RFQs and supplier responses, NDAs are auto-applied between buyer and supplier through the platform. Additional NDAs may be in place outside the platform.
Section 09

Buyers & suppliers

Sourceby is a platform that connects buyers and suppliers. We are not a party to any contract, RFQ, BOQ, RFI, award, or transaction between buyers and suppliers.

  • Buyers are responsible for the accuracy and completeness of RFQ content, evaluating supplier responses, and complying with their own procurement policies.
  • Suppliers are responsible for the accuracy of profile data, response content, certifications, and delivery commitments.
  • Sourceby does not verify or guarantee the accuracy of supplier capabilities, certifications, or commercial terms beyond what is verifiable through publicly available business data.
  • Any contract, purchase order, or transaction entered into via the Service is solely between the buyer and supplier.
  • Disputes between buyers and suppliers should be resolved directly between the parties; Sourceby may assist with information from the platform where reasonable.
Section 10

Third-party services

The Service may include integrations with third-party services (such as ERPs, PLMs, payment processors, SSO providers, or email services). Your use of those services is governed by their own terms and policies. Sourceby is not responsible for third-party services or their availability.

Section 11

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of supplier data or AI-generated recommendations.

We do not warrant that the Service will be uninterrupted, error-free, or fully secure, that AI recommendations will produce the optimal sourcing outcome, or that supplier data is current at all times. You assume responsibility for procurement decisions made using the Service.

AI outputs
AI-assisted matching and comparison features are decision-support tools, not decision-makers. Buyers retain full responsibility for award decisions and supplier selection.
Section 12

Limitation of liability

To the maximum extent permitted by law, Sourceby and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, business interruption, or procurement losses — arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.

Some jurisdictions do not allow certain liability limitations, so portions of this section may not apply to you. Nothing in these Terms limits liability for gross negligence, willful misconduct, or anything else that cannot be limited by law.

Section 13

Indemnification

You will defend, indemnify, and hold harmless Sourceby and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms or the Acceptable Use policy.
  • Your Content, including any claim that it infringes third-party rights.
  • Your violation of any law or third-party right.
  • Any RFQ, supplier response, transaction, or contract between you and another user of the Service.

We will promptly notify you of any claim, give you reasonable cooperation, and let you control the defense (provided you don't settle in a way that admits liability for us or affects our rights without consent).

Section 14

Term & termination

These Terms remain in effect for as long as you use the Service or maintain an account.

  • By you — you can stop using the Service or delete your account at any time. Paid plans cancel per Section 04.
  • By us — we can suspend or terminate your access if you materially breach these Terms, if your account poses a security risk, or if we are required to do so by law. We will give reasonable notice where appropriate.
  • Effect of termination — your right to access the Service ends. We retain or delete Your Content per our Retention policy. Sections that by their nature should survive (e.g. payment, IP, confidentiality, liability, indemnity, dispute resolution) will survive termination.
  • Data export — you may export Your Content before termination or within a reasonable window after.
Section 15

Governing law & disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India — except that we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

Before filing any formal proceeding, the parties will first attempt to resolve the dispute through good-faith negotiation. Enterprise customers may have alternative dispute mechanisms set out in their order form or MSA.

Section 16

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll notify you by email or in-app notice and update the "Last Updated" date at the top of this page. If you don't agree with the changes, you must stop using the Service before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
